These Terms of Service (“Terms”) govern your use of the Stilwell Pianos Wholesale website and any purchase made from Stilwell Pianos Wholesale (“Stilwell Pianos,” “we,” “us,” or “our”). By accessing this website, placing an order, submitting payment, or purchasing a piano or other product from us, you agree to these Terms.
1. WHOLESALE / AS-IS SALES
Stilwell Pianos Wholesale specializes in selling used pianos at wholesale prices. Unless expressly stated otherwise in writing by Stilwell Pianos, ALL PIANOS AND OTHER USED PRODUCTS ARE SOLD AS-IS, WHERE-IS, WITH ALL FAULTS AND WITHOUT WARRANTY.
Wholesale pricing reflects the fact that these instruments are sold without the warranties, preparation, service, repairs, delivery, tuning, or other benefits that may accompany a traditional retail piano purchase.
The buyer is responsible for evaluating the condition and suitability of any piano before purchase.
2. NO WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STILWELL PIANOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CONDITION, QUALITY, DURABILITY, PERFORMANCE, AND NON-INFRINGEMENT.
No warranty is provided regarding the piano’s structural, mechanical, cosmetic, or musical condition unless a specific written warranty is expressly provided by Stilwell Pianos as part of the transaction.
Statements, photographs, videos, descriptions, measurements, serial numbers, age estimates, or other information provided on our website or by our employees are intended to assist buyers in evaluating an instrument but do not create a warranty or guarantee.
3. USED PIANO CONDITION
Our inventory consists primarily of used pianos. Used pianos may show normal or substantial signs of age, wear, prior repairs, refinishing, rebuilding, environmental exposure, or previous use.
Depending on the instrument, issues may include, but are not limited to, cosmetic damage, finish imperfections, scratches, dents, fading, worn parts, tuning instability, action wear, string corrosion, soundboard cracks, bridge cracks, loose tuning pins, worn hammers, regulation issues, missing or non-original parts, or other defects.
We make reasonable efforts to describe instruments accurately; however, it is not always possible to identify or disclose every defect in a used piano.
The buyer accepts the piano in its condition at the time of sale, including defects that may not have been specifically identified or disclosed.
4. INSPECTIONS
Buyers are strongly encouraged to inspect a piano in person before purchasing or to hire an independent qualified piano technician to inspect the instrument on their behalf.
Buyers may contact us before purchasing to request additional photographs, videos, measurements, or other reasonably available information.
A buyer who chooses to purchase an instrument without an independent inspection assumes the risks associated with purchasing a used piano without such an inspection.
5. SALES ARE FINAL
Unless otherwise agreed to by Stilwell Pianos in writing before purchase, ALL WHOLESALE SALES ARE FINAL.
We do not offer returns, refunds, exchanges, credits, or price adjustments because of buyer dissatisfaction, change of mind, cosmetic condition, tonal preference, touch preference, condition issues, repair requirements, moving expenses, tuning requirements, or other issues discovered after purchase.
Nothing in these Terms limits any rights or remedies that cannot legally be waived under applicable law.
6. PHOTOGRAPHS AND DESCRIPTIONS
We attempt to provide accurate photographs and descriptions of each instrument. However, photographs may not show every scratch, dent, finish defect, repair, discoloration, or other condition issue.
Colors and finishes may also appear differently depending on lighting, photography, monitors, phones, and other displays.
Piano ages and manufacturing dates may be estimates based on serial-number references or other available information and are not guaranteed unless expressly stated otherwise in writing.
7. PRICING AND AVAILABILITY
All prices are subject to change without notice.
Listing an instrument on our website does not guarantee that it remains available. Because pianos may also be sold through other channels, an instrument may sell before the website listing is updated.
We reserve the right to correct pricing, typographical, inventory, or listing errors and to cancel or decline an order resulting from an error. If payment has already been collected for an order we cancel, the amount collected for the canceled order will be refunded.
8. PAYMENT
Payment must be made using a payment method accepted by Stilwell Pianos.
An instrument is not considered sold or reserved until the required payment has been received and accepted by Stilwell Pianos unless we have agreed otherwise in writing.
The buyer is responsible for all applicable taxes, fees, bank charges, financing charges, shipping charges, moving charges, storage charges, and other costs associated with the transaction unless specifically stated otherwise in writing.
9. SHIPPING, MOVING, AND DELIVERY
Unless expressly included in the written sales agreement, shipping, moving, delivery, installation, and tuning are not included in the purchase price.
The buyer is responsible for arranging and paying for transportation of the purchased instrument.
If Stilwell Pianos assists the buyer in arranging transportation through a third-party piano mover, freight company, carrier, or other provider, that provider remains an independent third party.
Unless otherwise required by applicable law or expressly agreed to by Stilwell Pianos in writing, Stilwell Pianos is not responsible for delays, damage, loss, additional charges, or other issues caused by third-party transportation providers.
Buyers should inspect instruments promptly upon delivery and document any shipping damage immediately with the carrier.
10. STORAGE AND PICKUP
Purchased instruments must be picked up or scheduled for shipment within any timeframe specified on the invoice or sales agreement.
If no timeframe is specified, the buyer should arrange pickup or shipment promptly following purchase.
Stilwell Pianos reserves the right, to the extent permitted by law, to charge reasonable storage fees for instruments left at our facility for an extended period after the buyer has been notified that the instrument is available for pickup or shipment.
Any applicable storage terms or fees will be communicated to the buyer.
11. REPAIRS, TUNING, AND SERVICE
Unless specifically stated otherwise in writing, wholesale instruments have not necessarily received the same preparation, tuning, regulation, repair, cleaning, refinishing, or technical service that may be performed on instruments sold through our retail operation.
The buyer is responsible for any repairs, tuning, regulation, voicing, cleaning, refinishing, maintenance, or other service desired or required after purchase.
Any repair estimates discussed before a sale are estimates only unless incorporated into a separate written service agreement.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STILWELL PIANOS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE PURCHASE, OWNERSHIP, TRANSPORTATION, USE, REPAIR, OR RESALE OF AN INSTRUMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, STILWELL PIANOS’ TOTAL LIABILITY ARISING FROM A TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO STILWELL PIANOS FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply in every circumstance.
13. THIRD-PARTY SERVICES
Our website may use or link to third-party services, including payment processors, financing providers, shipping companies, Shopify applications, or other websites.
We are not responsible for the availability, content, policies, security, or performance of independent third-party services.
Use of those services may be subject to separate terms and privacy policies established by the applicable provider.
14. WEBSITE USE
You agree not to use this website for unlawful purposes or in a manner that interferes with the operation or security of the website.
All website content, including photographs, videos, written descriptions, logos, graphics, and other original material, is owned by or licensed to Stilwell Pianos unless otherwise stated and may not be reproduced or commercially used without permission.
15. GOVERNING LAW
These Terms and transactions with Stilwell Pianos shall be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent permitted by applicable law, any legal proceeding arising from these Terms or a purchase from Stilwell Pianos shall be brought in a court of competent jurisdiction located in Maricopa County, Arizona.
16. CHANGES TO THESE TERMS
We reserve the right to update or modify these Terms from time to time.
Changes will become effective when the revised Terms are posted on this website. The Terms applicable to a purchase will generally be those in effect at the time the order is placed, unless otherwise required by law.
17. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
18. ENTIRE AGREEMENT
These Terms, together with the applicable invoice, sales agreement, product listing, and any additional written terms expressly agreed to by Stilwell Pianos, constitute the agreement between the buyer and Stilwell Pianos regarding the applicable purchase.
If a specific written sales agreement signed or otherwise expressly accepted by Stilwell Pianos conflicts with these general Terms, the specific written agreement will control with respect to that transaction.
